These Terms of Service (“Terms”) govern your access to and use of The Premium Basket U.S. website, related digital services, and purchases made through the U.S. website (collectively, the “Services”).

The U.S. Services are operated by Mishkat, Inc., a Delaware corporation (“Mishkat,” “we,” “us,” or “our”). The Premium Basket (“TPB”) brand and associated trademark rights are owned by Zi Jibla Ventures Private Limited (“Zi Jibla”), India. Mishkat is authorized to use the TPB brand in connection with U.S. sales and distribution. Unless otherwise stated at checkout, Mishkat is the seller for purchases made directly through the U.S. website.

By accessing or using the Services, or placing an order, you agree to these Terms and to the policies incorporated by reference, including our Privacy Policy, Shipping Policy, and Return & Refund Policy. If you do not agree, do not use the Services.

1. ELIGIBILITY AND USE OF THE SERVICES

You must be legally capable of entering into a binding contract to make a purchase. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

You agree to use the Services only for lawful purposes and not to interfere with their operation, security, or integrity.

2. PRODUCTS AND PRODUCT INFORMATION

We seek to describe and display products accurately. Product packaging, labels, colors, appearance, ingredients, sourcing, specifications, weights, and other details may change from time to time, subject to applicable law.

Images are illustrative and may appear differently depending on lighting, photography, display settings, packaging revisions, or natural variation in agricultural and food products.

Before consuming a product, you should review the physical product label, including the ingredient statement, allergen declaration, nutrition information, storage instructions, best-before or expiration information, and other warnings or directions.

If website information materially conflicts with the label on the product you receive, contact us before consumption where the difference could affect safety, allergies, or dietary requirements.

3. FOOD ALLERGENS

Our products may contain major food allergens, including tree nuts and, depending on the product, other allergens identified on the applicable label. Manufacturing or handling environments may also involve allergens as disclosed on the product label.

Customers with food allergies or sensitivities should carefully read the entire ingredient list and allergen information for each product before consumption. Product formulations and suppliers may change, so labels should be reviewed each time a product is purchased.

Nothing in these Terms excludes responsibility that cannot lawfully be excluded for mislabeling, undeclared allergens, contamination, recalls, or other violations of applicable law.

4. NO MEDICAL ADVICE

Product descriptions, articles, recipes, marketing materials, and other content are provided for general informational and commercial purposes and are not medical advice. Food products are not intended to diagnose, treat, cure, or prevent disease unless expressly authorized and lawfully represented as such.

If you have a medical condition, allergy, dietary restriction, or other health concern, seek appropriate professional advice regarding your individual circumstances.

5. PRICES, TAXES, AND CHARGES

Prices displayed on the U.S. website are generally stated in U.S. dollars unless otherwise indicated.

Applicable sales, use, or similar taxes may be calculated and added at checkout based on the transaction, delivery destination, and applicable tax rules.

Shipping, handling, expedited delivery, discounts, promotions, and other charges or credits will be shown where applicable before the order is submitted.

We may change prices prospectively at any time. A price change does not ordinarily alter an order already accepted by us, except where correction is permitted by law or the customer agrees to the change.

6. ORDERS AND ACCEPTANCE

Submitting an order is an offer to purchase. Receipt of an order confirmation does not necessarily mean that we have finally accepted the order.

We may accept, reject, limit, or cancel an order for legitimate reasons, including inventory errors, pricing or product-information errors, suspected fraud, payment problems, shipping restrictions, legal requirements, or inability to fulfill the order.

If we cancel an order after payment has been collected, we will issue the appropriate refund for the cancelled portion.

7. SMS / TEXT MESSAGING

You agree to receive information messages (appointment reminders, account notifications, etc.) from Mishkat, Inc.. Message frequency varies. Message and data rates may apply. For help, reply HELP or email us at customercare@thepremiumbasket.com. You can opt out at any time by replying STOP.

8. PAYMENT

Available payment methods are displayed at checkout. Payment processing may be performed by third-party payment providers and is subject to their applicable terms and privacy practices.

You represent that you are authorized to use the payment method submitted and that the billing information you provide is accurate.

9. SHIPPING AND DELIVERY

Shipping and delivery are governed by our Shipping Policy, which is incorporated into these Terms.

Shipment and delivery dates are estimates unless expressly stated as guaranteed. We will address shipment delays and customer cancellation/refund rights as required by applicable law.

10. RETURNS, REFUNDS, AND CANCELLATIONS

Returns, refunds, replacements, and cancellations are governed by our Return & Refund Policy, incorporated into these Terms.

Because our products are food items, return rights may be restricted for safety, hygiene, quality-control, and tampering-prevention reasons, except where applicable law requires otherwise.

11. PROMOTIONS, DISCOUNTS, AND COUPONS

Promotional offers may be subject to additional terms, expiration dates, product restrictions, minimum purchase requirements, geographic restrictions, usage limits, or exclusions.

Unless stated otherwise, promotions cannot be combined, exchanged for cash, applied retroactively, or used in a manner inconsistent with their stated terms.

We may cancel or correct a promotion affected by fraud, abuse, technical error, or material mistake, subject to applicable law.

12. ACCOUNTS

If account functionality is available, you are responsible for maintaining the confidentiality of your credentials and for activity occurring through your account to the extent permitted by law.

Notify us promptly if you believe your account has been compromised.

13. REVIEWS, FEEDBACK, AND USER CONTENT

If you submit a review, photograph, testimonial, suggestion, feedback, or other content, you represent that you have the right to provide it and that it does not violate law or third-party rights.

To the extent necessary to operate, display, reproduce, moderate, promote, and improve the Services, you grant Mishkat a non-exclusive, worldwide, royalty-free license to use content you voluntarily submit to us, subject to applicable law and our Privacy Policy.

We may moderate or remove user content that violates these Terms, is unlawful, misleading, fraudulent, abusive, or otherwise inappropriate for the Services.

14. INTELLECTUAL PROPERTY

The Premium Basket name, trademarks, logos, trade dress, product branding, packaging designs, and associated brand intellectual property are owned by Zi Jibla and/or its applicable licensors and are used by Mishkat under authorization.

The website and other materials may also contain intellectual property owned by Mishkat, Zi Jibla, service providers, or other licensors.

Except as expressly permitted, you may not copy, reproduce, modify, distribute, sell, exploit, create derivative works from, or use protected materials for commercial purposes without authorization from the applicable rights holder.

Nothing in these Terms transfers ownership of TPB intellectual property to Mishkat, customers, or other users.

15. PROHIBITED CONDUCT

You may not:

• use the Services for unlawful, fraudulent, or abusive purposes;
• attempt unauthorized access to systems, accounts, or data;
• introduce malware or malicious code;
• scrape, crawl, harvest, or systematically extract content or data in a manner prohibited by law or without authorization;
• interfere with website security or normal operation;
• impersonate another person or misrepresent your identity;
• submit false payment, delivery, review, or claim information; or
• use TPB or other protected intellectual property without authorization.

16. THIRD-PARTY SERVICES

The Services may use or link to independent third-party services, including payment, shipping, social-media, analytics, or other providers. We do not control every aspect of independent third-party services, and their separate terms and policies may apply.

17. WEBSITE AVAILABILITY

We may modify, suspend, update, or discontinue all or part of the Services from time to time. We do not guarantee uninterrupted or error-free website availability.

18. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, EXCEPT FOR EXPRESS WARRANTIES THAT WE PROVIDE OR WARRANTIES THAT CANNOT LAWFULLY BE DISCLAIMED.

WE DO NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

NOTHING IN THESE TERMS DISCLAIMS WARRANTIES, RIGHTS, OR REMEDIES THAT CANNOT BE DISCLAIMED UNDER APPLICABLE CONSUMER-PROTECTION OR OTHER LAW.

19. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MISHKAT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM THE SERVICES OR A PURCHASE, WHERE SUCH DAMAGES MAY LAWFULLY BE EXCLUDED.

ANY LIMITATION IN THESE TERMS IS SUBJECT TO APPLICABLE LAW. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED, INCLUDING LIABILITY ARISING FROM RIGHTS OR REMEDIES THAT APPLICABLE LAW MAKES NON-WAIVABLE.

20. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold Mishkat harmless from third-party claims, liabilities, damages, and reasonable costs arising from your unlawful misuse of the Services, your material violation of these Terms, or your infringement of another person’s rights.

This section does not require a consumer to indemnify Mishkat for Mishkat’s own unlawful conduct or for matters that cannot lawfully be shifted to the consumer.

21. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except to the extent federal law or another jurisdiction’s mandatory consumer-protection law applies.

Nothing in these Terms deprives a consumer of protections that cannot lawfully be waived under the law applicable to that consumer.

22. DISPUTES AND VENUE

Before commencing formal proceedings, we encourage you to contact us so that we can attempt to resolve the issue.

Unless applicable law provides otherwise, disputes arising from these Terms or purchases from the U.S. website may be brought in a court of competent jurisdiction in a court of competent jurisdiction, subject to any mandatory venue or consumer-protection rights under applicable law.

These Terms do not impose mandatory arbitration or a class-action waiver. Mishkat may adopt a separate dispute-resolution provision in the future only through legally appropriate updated terms.

23. FORCE MAJEURE

To the extent permitted by law, we are not responsible for delay or failure caused by events beyond our reasonable control, such as natural disasters, severe weather, war, civil disturbance, governmental action, transportation interruption, labor disruption, utility or telecommunications failure, carrier disruption, or similar events. This provision does not eliminate refund, cancellation, or other rights that applicable law requires.

24. CHANGES TO THESE TERMS

We may update these Terms prospectively. Updated Terms will be posted with a revised effective date. Changes do not retroactively alter completed transactions except where permitted by law or agreed by the parties.

25. SEVERABILITY

If a provision of these Terms is determined to be unlawful or unenforceable, it will be enforced to the maximum extent permitted or severed as appropriate, without invalidating the remaining provisions.

26. NO WAIVER

A failure to enforce a provision on one occasion does not constitute a waiver of that provision or our right to enforce it later.

27. ENTIRE AGREEMENT

These Terms, together with policies and transaction-specific terms expressly incorporated by reference, constitute the agreement governing your use of the Services and direct purchases from the U.S. website, subject to applicable law.
